Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Premium Business Systems, LLC ("Premium Business Systems," "PBS," "we," "us," or "our") and govern your access to and use of the website prembussys.com (the "Site") and any products, content, or services we make available (collectively, the "Services"). Please read these Terms carefully. By accessing the Site, creating an order, or purchasing any product, you agree to be bound by these Terms and by our Privacy Policy, Refund Policy, and Shipping & Delivery Policy, each of which is incorporated by reference. If you do not agree, please do not use the Site or purchase our products.

1. Eligibility

You must be at least 18 years old and able to form a legally binding contract to purchase from us. By placing an order, you represent and warrant that you meet these requirements and that the information you provide is accurate and complete.

2. Our products

Premium Business Systems offers digital educational products — downloadable PDF courses, guides, and templates focused on the business of trucking, including topics such as obtaining operating authority, setting up an owner-operator business, finding and pricing loads, dispatch and operations, hiring, and scaling a fleet. Our products are provided for general educational and informational purposes only (see the Educational Disclaimer below).

3. Orders and account information

When you place an order, you agree to provide current, complete, and accurate purchase and account information, including a valid email address to which your products will be delivered. You are responsible for keeping your access credentials and any download links confidential. We reserve the right to refuse or cancel any order at our discretion, including where we suspect fraud or a violation of these Terms.

4. Pricing and payment

All prices are stated in U.S. dollars and are subject to change without notice; the price that applies to your order is the price displayed at the time of checkout. Payment is processed securely through our third-party payment processor (such as Shopify Payments or Stripe). By submitting a payment, you represent that you are authorized to use the payment method and you authorize us (through our processor) to charge the total amount of your order, including any applicable taxes. Your order is confirmed once payment has been successfully received.

5. Delivery

All products are delivered electronically. You will receive access to your purchase immediately after payment is confirmed, as described in our Shipping & Delivery Policy. There is no physical shipment.

6. Refunds

Because our products are digital and delivered immediately, all sales are generally final once a product has been accessed or downloaded, subject to the terms and exceptions set out in our Refund & Cancellation Policy, which forms part of these Terms.

7. License to use the materials

Subject to your compliance with these Terms and full payment, Premium Business Systems grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the purchased materials solely for your own individual learning and use. This license does not transfer any ownership rights to you.

8. Restrictions and acceptable use

You agree that you will not, and will not permit any third party to:

  • copy, reproduce, republish, distribute, sell, rent, lease, sublicense, or otherwise commercialize the materials;
  • share, post, or upload the materials, your download links, or your access credentials to any public or private platform, file-sharing service, or other person;
  • use the materials to teach, train, or coach others, or to create a competing or derivative product, unless we authorize it in writing;
  • remove, obscure, or alter any copyright, trademark, or other proprietary notices;
  • use the Site or products for any unlawful, infringing, or fraudulent purpose, or in any way that could damage, disable, or impair the Site.

Any breach of this section terminates your license automatically and may result in the suspension of your access and legal action.

9. Intellectual property

All content on the Site and within our products — including text, graphics, logos, course materials, templates, and the selection and arrangement thereof — is the property of Premium Business Systems, LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual-property laws. The "Premium Business Systems" name and logo are our trademarks and may not be used without our prior written permission. All rights not expressly granted to you are reserved.

10. Educational disclaimer

Our products are provided for general educational and informational purposes only and do not constitute legal, financial, tax, accounting, regulatory, or other professional advice. Trucking is a regulated industry; nothing in our materials replaces the official requirements of the FMCSA, USDOT, your state authorities, or other regulators, and you are solely responsible for verifying and complying with all laws and regulations that apply to your business. We make no guarantee of any particular outcome, income, or business result. Your results depend on many factors outside our control, including your own effort, market conditions, and decisions. You are solely responsible for how you use and apply the information.

11. Disclaimer of warranties

The Site and all products are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that any content is accurate, complete, or current.

12. Limitation of liability

To the maximum extent permitted by law, Premium Business Systems, LLC and its owners, officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Site or products, even if advised of the possibility of such damages. To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Services will not exceed the amount you actually paid us for the product giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Premium Business Systems, LLC and its owners, officers, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your misuse of the Site or products, your violation of these Terms, or your violation of any law or the rights of any third party.

14. Third-party links and services

The Site may reference or link to third-party websites, tools, or services that we do not control. We are not responsible for the content, products, or practices of any third party, and your dealings with them are solely between you and that third party.

15. Termination

We may suspend or terminate your access to the Site or products at any time, without notice, if you breach these Terms or engage in conduct we reasonably consider harmful, fraudulent, or unlawful. Sections that by their nature should survive termination — including those on intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

16. Governing law and disputes

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Florida, and you consent to the personal jurisdiction of those courts. Before filing any claim, you agree to first contact us at info@prembussys.com so that we can try to resolve the matter informally.

17. Changes to these Terms

We may modify these Terms from time to time. When we make changes, we will update the "Last updated" date above, and the revised Terms become effective when posted. Your continued use of the Site or any new purchase after changes are posted constitutes your acceptance of the revised Terms.

18. Miscellaneous

These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and Premium Business Systems regarding the Services. If any provision is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
